On October 25, 2010, the Board of Directors of Orange 21 Inc. (the “Company”) appointed Gregory R. Andrews to the Board of Directors. In connection with his appointment, Mr. Andrews was appointed to the Audit Committee of the Board of Directors. Prior to his appointment to the Board of Directors, Mr. Andrews did not have any related party transaction or material relationship with the Company. Mr. Andrews does not have any family relationships with any of the Company’s other directors or officers.
Mr. Andrews is currently the Chief Financial Officer of Ramco-Gershenson Properties Trust, a publicly traded real estate investment trust listed on the New York Stock Exchange. Prior to joining Ramco-Gershenson in 2010, Mr. Andrews served as Chief Financial Officer of Equity One, Inc. from 2006 to 2009. From 1997 to 2006, Mr. Andrews was a Principal at Green Street Advisors, Inc., an investment research and advisory firm. Mr. Andrews also previously served as Vice President in the corporate (Hong Kong) and commercial real estate (U.S.) divisions of Bank of America and as an analyst at First Interstate Bank of California.
